End User License Agreement

1. Agreement Overview

This End User License Agreement ("EULA") is a legal agreement between you ("User", "you", or "your") and THETECHBRAIN LTD ("Company", "we", "us", or "our") for the use of VEX AI Agent and related services, software, and tools provided through the VisionVix ecosystem.

By accessing or using VEX AI Agent, you acknowledge that you have read, understood, and agree to be bound by this EULA. If you do not agree to these terms, do not use our services.

2. License Grant

Subject to the terms of this EULA, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use VEX AI Agent services through authorized platforms
• Use outputs generated by VEX AI Agent for personal or commercial purposes
• Integrate with VEX-powered tools available in the VisionVix marketplace

This license does not include the right to modify, reverse engineer, decompile, or create derivative works based on VEX AI Agent's underlying technology.

3. Restrictions

You agree NOT to:

• Use VEX AI Agent for any unlawful, harmful, or fraudulent purposes
• Attempt to gain unauthorized access to our systems or networks
• Circumvent, disable, or interfere with security features
• Use automated systems to access the service in excess of normal usage
• Redistribute, sublicense, or resell access to VEX AI Agent
• Use the service to develop competing AI products
• Generate content that violates intellectual property rights
• Use outputs to train other AI models without authorization

4. Intellectual Property

VEX AI Agent, including all software, algorithms, designs, trademarks, and content, is owned by THETECHBRAIN LTD or its licensors. All rights not expressly granted herein are reserved.

You retain ownership of any original content you input into VEX AI Agent. However, you grant us a license to process such content solely to provide our services.

5. User-Generated Content

Content generated using VEX AI Agent may be used by you for commercial or personal purposes. However:

• You are responsible for ensuring outputs comply with applicable laws
• We do not claim ownership of AI-generated outputs
• Similar outputs may be generated for other users

6. Privacy & Data

Your use of VEX AI Agent is subject to our Privacy Policy. We may collect and process data as described therein to improve our services and provide personalized experiences.

7. Disclaimer of Warranties

VEX AI Agent is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory, including but not limited to:

• Warranties of merchantability or fitness for a particular purpose
• Warranties that the service will be uninterrupted or error-free
• Warranties regarding the accuracy or reliability of AI outputs

8. Limitation of Liability

To the maximum extent permitted by law, THETECHBRAIN LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of VEX AI Agent, including but not limited to loss of profits, data, or business opportunities.

Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless THETECHBRAIN LTD and its affiliates from any claims, damages, or expenses arising from your use of VEX AI Agent or violation of this EULA.

10. Termination

We may terminate or suspend your access to VEX AI Agent at any time, with or without cause, and without prior notice. Upon termination:

• Your license to use VEX AI Agent immediately ends
• You must cease all use of the service
• Provisions that by their nature should survive will remain in effect

11. Updates & Modifications

We may update VEX AI Agent and this EULA from time to time. Continued use after changes constitutes acceptance of the modified terms. We will notify users of material changes through our website or other appropriate means.

12. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the United Kingdom. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Severability

If any provision of this EULA is found to be unenforceable, the remaining provisions shall continue in full force and effect.
